Terms and Conditions
The rules for using StartupXY LLP's site, tools, courses and advisory engagements — what we commit to, and what you agree to.
Effective date: 15 September 2026 · Entity: StartupXY LLP
1. Agreement to these terms
These Terms and Conditions govern your use of startupxy.com and all content, diagnostics, courses, programs, events and advisory services provided by StartupXY LLP ("StartupXY", "we", "us"). By using the site or applying to a program you agree to these terms.
Where you sign a separate engagement letter, program agreement or investment document with us, that document prevails over these terms to the extent of any conflict.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. Information you submit in applications and forms must be accurate and complete. You are responsible for activity carried out under any account or access credentials issued to you.
3. Applications and admission
Submitting an application does not create any obligation on us to admit you to a program, provide services or invest. Admission decisions are at our sole discretion and we are not required to give reasons. Any offer is conditional on execution of the relevant agreement and completion of our diligence.
4. Services, fees and payment
- Scope, deliverables, duration and fees for any engagement are set out in the applicable proposal or engagement letter.
- Fees are exclusive of taxes and third-party costs unless stated otherwise, and are payable per the invoice schedule.
- Programs that involve equity, warrants or success fees are governed solely by the signed definitive documents for that transaction.
- Course and event fees are payable in advance. Unless stated otherwise, fees are non-refundable once access or the cohort has started; we may offer a transfer to a later cohort at our discretion.
- Late payment may lead to suspension of services and interest at the rate permitted by law.
5. Your responsibilities
Our work depends on the information and participation you provide. You agree to supply accurate information, attend scheduled sessions, respond to reasonable requests within agreed timelines, and take your own decisions on whether and how to act on our recommendations.
6. No investment, legal, tax or financial advice
StartupXY provides business, product, growth and fundraising advisory. We are not your lawyer, accountant, auditor, tax adviser or a registered investment adviser or broker, and nothing on this site or in our deliverables constitutes legal, tax, accounting, securities or investment advice.
Diagnostics, readiness scores, valuation ranges, benchmarks and models are indicative tools based on the inputs you provide. They are not a guarantee of funding, valuation, revenue or any other outcome. Obtain independent professional advice before acting.
7. No guarantee of funding or results
Introductions to investors, corporates or partners are made on a best-efforts basis. We do not guarantee any introduction, term sheet, investment, customer, grant or commercial result. Investor decisions rest entirely with the investor.
8. Confidentiality
Each party will keep the other's confidential information in confidence and use it only for the purpose of the engagement. Our confidentiality obligations do not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
You acknowledge that we advise many ventures and that we may work with businesses in the same or adjacent sectors. We will not use your confidential information for the benefit of another client, but we are not restricted from working with other ventures.
9. Intellectual property
- You retain all rights in your business, product, data and materials you provide to us.
- We retain all rights in our frameworks, methodologies, value-driver models, lenses, lifecycle models, templates, tools, curriculum and software, including any improvements made while working with you.
- On full payment, you receive a non-exclusive, non-transferable licence to use the deliverables prepared for you for your own internal business purposes.
- You may not resell, sublicense, publish or build a competing program from our frameworks, course content or templates without our written consent.
- Neither party may use the other's name or logo publicly without consent, except that we may list you as a portfolio or program participant and describe the engagement at a high level.
10. Acceptable use of the site
You agree not to misuse the site: no scraping or automated extraction at scale, no attempts to breach security or access other users' data, no uploading of malware or unlawful content, and no use of our content to train competing models or services without permission.
11. User submissions
You are responsible for content you upload, including decks, models and documents. You confirm you have the right to share it. We may remove content that is unlawful, infringing or harmful. We handle uploaded material as described in our Privacy Policy.
12. Third-party links and services
The site may link to third-party websites, tools and events. We do not control and are not responsible for their content, availability, terms or privacy practices.
13. Disclaimers
The site and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not warrant uninterrupted or error-free operation.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill, funding or data. Our total aggregate liability arising out of or relating to the services is limited to the fees paid by you to StartupXY in the twelve months preceding the event giving rise to the claim.
Nothing in these terms excludes liability that cannot be excluded by law, including for fraud or wilful misconduct.
15. Indemnity
You agree to indemnify StartupXY against claims, losses and reasonable costs arising from your breach of these terms, your infringement of third-party rights, or content or information you provide to us.
16. Suspension and termination
Either party may terminate an engagement as set out in the engagement letter. We may suspend or end access to the site, a cohort or a program for breach of these terms, non-payment, or conduct that harms other participants. Clauses on confidentiality, intellectual property, liability and governing law survive termination.
17. Code of conduct
Programs, cohorts and events run on mutual respect. Harassment, discrimination, misrepresentation of traction or financials, and disclosure of another participant's confidential information may result in immediate removal without refund.
18. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural events, outages, strikes, war, epidemics or government action.
19. Governing law and disputes
These terms are governed by the laws of India. The parties will first attempt to resolve any dispute in good faith. Failing that, disputes will be subject to the exclusive jurisdiction of the competent courts at our registered office location, or to arbitration where the signed engagement letter provides for it.
20. Changes and contact
We may update these terms from time to time; the effective date below shows the current version, and continued use of the site constitutes acceptance. Questions: legal@startupxy.com or team@startupxy.com.
